How to incorporate in BC

Step 1: Decide if a specific name is desired or a number is fine

If a number is desired, no name approval is required from the Corporate Registry.

If a name is desired, an application to the Corporate Registry for name approval must be made and each name must have three parts:

1. The first part is the unique element (e.g. “John O’ Reilly”)
2. The second part is the industry that “John O’Reilly” wants to serve (e.g. “John O’Reilly Handyman Services” or “John O’Reilly Web Design”)
3. The third and final part is the selection of one of the following at the end of the name: “Corporation”, “Corp.”, “Inc.” Incorporated. “Ltd.”, or Limited

French language equivalents are also acceptable.

To determine which name is selected, it is wise to conduct a search to see if any other corporations are using the intended name, even outside of British Columbia. This can be done with an internet search, domain name search and potentially even a trademarks search.

Step 2: Determine the directors, officers and shareholders

Step 3: File an incorporation application

Once a name is selected and approved, the next step is to file an incorporation application with that name or using a number generated by the Corporate Registry to incorporate a new corporation. At this step, there will be some documentation to be signed.

Step 4: Prepare a corporate minute book

If the incorporation application is approved by the Corporate Registry, the final step is for the lawyer to prepare a corporate minute book that contains all the necessary records, stock certificates, list of directors, list of shareholders and resolutions for the new corporation.
