All BC companies are required to maintain a Records Office as part of their record at the Corporate Registry in Victoria. A Records Office can be searched by any member of the general public. As most people do not want random people coming to their house, it is common practice to utilize the lawyer’s office as the Records Office instead of the client’s.

WHAT CORPORATE RECORDS HAVE TO BE AVAILABLE FOR INSPECTION AT THE RECORDS OFFICE?

While the list of documents is subject to change, the current requirements are to keep the following documents available for inspection during office hours:

• Incorporation certificate;
• Articles; and
• Lists of shareholders and directors. 


Companies commonly keep additional documents in their minute book such as confidential board of director meetings, financial statements and security instrument copies. Open Door Law recognizes that some of these documents are sensitive and may be considered corporate confidential. We have the skills and experience to vet requests for records access and to provide only those things that are legally required. 



In addition, by utilizing Open Door Law as your Registered and Records office, the lawyer is the first person to receive notification of any claim or suit against the corporation. The lawyer can advise on the merits of the claim and present a summary to the corporation’s board or else just transmit the claim to the principals of a corporation.
