All BC companies are required to maintain a Records Office as part of their record at the Corporate Registry in Victoria. A Records Office can be searched by any member of the general public. As most people do not want random people coming to their house, it is common practice to utilize the lawyer’s office as the Records Office instead of the client’s.
WHAT CORPORATE RECORDS HAVE TO BE AVAILABLE FOR INSPECTION AT THE RECORDS OFFICE?
While the list of documents is subject to change, the current requirements are to keep the following documents available for inspection during office hours:
- Incorporation certificate;
- Articles; and
- Lists of shareholders and directors.
